NEW YORK, Sept. 17, 2026 — S&P Global (NYSE: SPGI) has agreed to acquire OpenZeppelin, the smart contract security firm behind the industry’s most widely used open-source contract library. The deal adds an onchain technology-risk layer to S&P Global’s risk assessment and benchmark business as capital markets move onchain.
Founded in 2015, OpenZeppelin pairs security assessments and secure development services with the OpenZeppelin Contracts library. Those contracts underpin over $37 trillion in value transferred, including the vast majority of the largest stablecoins and tokenized funds, and the company has run more than 900 security engagements for protocols and institutions in digital asset markets.
“Our digital assets strategy centers on bringing trusted data, benchmarks and transparent risk assessment to markets as they move onchain,” said Yann Le Pallec, President, S&P Global Ratings. “As digital assets and tokenized markets continue to mature, OpenZeppelin’s technology and expertise will complement our smart contract and onchain technology risk assessment capabilities, giving traditional financial institutions and DeFi-native companies alike the confidence to build and transact in this new environment.”
Demian Brener, CEO of OpenZeppelin, said the company’s standards already power the infrastructure behind leading stablecoins, tokenized funds, DeFi protocols and onchain markets. “With S&P Global, that foundation reaches a broader set of organizations entering this market, as well as the blockchain networks and DeFi protocols gaining institutional adoption,” he said.
OpenZeppelin will keep operating as its own business unit under its own name, with Brener continuing to lead it and reporting to Le Pallec. S&P Global expects its brand, institutional relationships and distribution to widen OpenZeppelin’s reach into traditional finance.
Financial terms were not disclosed. The transaction is subject to closing conditions and is not expected to have a material impact on S&P Global’s financial results. Jefferies LLC is financial advisor to S&P Global and Clifford Chance is its legal advisor; FT Partners is exclusive financial and strategic advisor to OpenZeppelin, with Cooley as legal advisor.
